Terms of Service

These Terms of Service ("Terms") govern your access to and use of The Playwright's Desk, a web-based application provided by Upstart Raven LLC ("we," "us," or "our"). By creating an account or using the service, you agree to these Terms.

1. The Service

The Playwright's Desk is a submission management and career tracking tool for professional playwrights. It allows you to track play submissions, manage contacts, log productions, record royalties and licensing, and draft correspondence. The service is provided as-is, via web browser, with no software download required.

2. Accounts

You must create an account to use the service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account and keep it up to date. You must be at least 18 years old to use the service.

3. Subscriptions and Billing

Access to The Playwright's Desk requires a paid subscription after the free trial period. Subscriptions are billed on a monthly or annual basis through Lemon Squeezy, our payment processor. All prices are in US dollars.

3a. Complimentary and Academic Access

Upstart Raven LLC may, at its sole discretion, offer complimentary access to The Playwright's Desk to certain users, including MFA faculty, students, trial users, and others. The following terms apply to all complimentary access:

All data you enter into The Playwright's Desk — submissions, plays, contacts, royalties, and all other records — is stored locally in your browser's localStorage. We do not store your personal writing data on our servers. This means:

You agree to use the service only for lawful purposes and in accordance with these Terms. You agree not to:

The Playwright's Desk application, including its design, code, and content, is owned by Upstart Raven LLC and protected by copyright and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service for your personal professional use. You retain all rights to the content you create and enter into the application.

7. AI Features

The Playwright's Desk includes AI-assisted features for drafting correspondence and analyzing submission calls. These features are powered by third-party AI services. AI-generated content is provided as a starting point and may require editing before use. We make no guarantees about the accuracy, quality, or fitness for purpose of AI-generated content. You are responsible for reviewing and editing any AI output before sending or publishing it.

8. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, Upstart Raven LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of business, arising out of or in connection with your use of the service. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account if you violate these Terms or if we determine, in our sole discretion, that your use of the service is harmful. You may terminate your account at any time by cancelling your subscription and ceasing use of the service. Upon termination, your right to access the service ends immediately.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the application. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Collin County, Texas.
